Terms, Conditions, and liabilities set out by South Point Communications and Data Systems Inc and its insurance company(s)

 

These Terms, Conditions, and liabilities are incorporated by reference in and form part of the Telecommunications Services Agreement (the “Agreement”) between the Customer (you) and South Point Communications and Data Systems Inc. Any customer (you) invoiced by South Point Communications and Data Systems Inc is automatically bound by this agreement.

 

Internet and SIP:

South Point Communications and Data Systems Inc is an Internet and SIP line provider but regulated and controlled by the infrastructure provider such as Bell Canada and/or Cogeco. If at any time the customers (your) service is interrupted by one of the said parties, South Point Communications and Data Systems Inc is not responsible for lost time or production. South Point Communications and Data Systems Inc is not responsible for the customers (yours) or any of the customers (your) employees action on the internet or phone calls that could be deemed illegal or dangerous and will not be responsible for any legal action due to such activity and or viruses on systems as such.

 

Equipment:

South Point Communications and Data Systems Inc does supply equipment from time to time and carries a 1-year warranty. At no time is South Point Communications and Data Systems Inc responsible for lost time or production, but will replace the product under warranty at a reasonable rate of time depending on product availability. If the product is out of warranty and/or is the customers (yours) at no time is South Point Communications and Data Systems Inc responsible for lost time or production, but will replace the product in agreement with the customer (you). Natural disasters such as floods, fire, wind, earthquake and such will make such warranties void.

 

Data/Storage:

At no time does South Point Communications and Data Systems Inc share your information with any third party unless it’s with our accounting program in which you have added your credit card information and no owner or employee has access to these numbers through the accounting. If the customer (you) loses any information due to internet hijacking, viruses and/or user error, South Point Communications and Data Systems Inc is not responsible for lost time or production. In accordance with our training and ability, we will keep the security at its highest and train the customer (you) to the best of our ability to help elevate the possibility of losses any information due to internet hijacking, viruses and or user error.

 

Service Hours:

All service provided hereunder will be performed at mutually agreeable times during normal working hours (8:00 AM to 5:00 PM, Monday through Friday, holidays excluded). Customer requests for service outside normal working hours as defined above can be provided and subject to overtime charges if a tech is available.

 

Limitation of Liability

South Point Communications and Data Systems Inc will in no event be liable for any direct, indirect, special or consequential damages whatsoever, whether claims, therefore, are grounded in tort (including negligence), strict liability, or contract. 

 

Force Majeure

“Force Majeure” means the occurrence of any unforeseen event beyond the reasonable control of Customer or South Point Communications and Data Systems Inc which disrupts, hinders, or otherwise delays Customer’s or South Point Communications and Data Systems Inc performance of their contractual obligations. In such a case, the party prevented from performing its obligations shall notify the other party without delay of the nature and anticipated duration of such hindrances and shall keep the other party informed of events. During the continuance of circumstances constituting Force Majeure and preventing the performance of this Agreement, this Agreement shall be suspended and neither party shall be in breach for such suspension of performance, which shall extend until the affected party is free from the Force Majeure, and is able to resume its performance.

 

Payment

South Point Communications and Data Systems Inc will invoice Customer (you) for periodic charges in advance and for any additional charges for special services rendered. Invoices shall be due and payable on the due date of the invoice. Past due invoices may carry a late charge.

 

Hosted Service:

All hosted service such as phone systems, SIP, data storage from time to time subjected to outages that are not controlled or caused by South Point Communications and Data Systems Inc. If your service is interrupted, South Point Communications and Data Systems Inc is not responsible for lost time or production. We will investigate and work with outside contractors to resolve in a timely matter.

 

Amendments and updates:
